Commercial Terms and Conditions of Sale

1. Statutory Regulatory Governance All commercial sales, wholesale orders, contract indents, and product allocations by SRI KARNI FERTILIZERS AND CHEMICALS PVT LTD are executed in strict accordance with: • The Fertilizer (Control) Order (FCO) 1985 Schedule I and subsequent Central Amendments. • The Essential Commodities Act, 1955. • The Central Fertilizer Quality Control and Training Institute (CFQCTI) chemical standards. • Central and State Goods and Services Tax (GST) Acts.

2. Authorized Dealer Eligibility & Verification Fertilizer purchases through this platform are strictly reserved for: • Certified Agro-Chemical & Fertilizer Dealers holding a valid retail or wholesale fertilizer license issued by the State Department of Agriculture. • Agricultural Cooperative Societies, Farmers Producer Organizations (FPOs), and commercial agricultural enterprises. • Every buyer must submit valid GSTIN and FCO license credentials prior to first order dispatch authorization.

3. Pricing, Invoicing & GST Structure • All prices are quoted in Indian Rupees (INR) ex-factory or destination-depot basis as indicated at the time of quotation. • Standard GST on chemical and water-soluble fertilizers is levied at 5% in accordance with statutory government tariff classifications. • Invoices issued are Form A2 Commercial Tax Invoices containing verified FCO batch numbers, manufacturing dates, and expiration intervals. • SRI KARNI FERTILIZERS AND CHEMICALS PVT LTD reserves the right to revise wholesale price slabs in accordance with raw material import parity and government subsidy notifications.

4. Payment Terms & Title of Ownership • Payment terms comprise verified UPI instant settlement, RTGS/NEFT banking remittance, or approved commercial trade credit limits. • Full ownership and legal title of fertilizer consignments remains with SRI KARNI FERTILIZERS AND CHEMICALS PVT LTD until the purchase invoice is settled in full. • In the event of payment dishonour or delayed remittance beyond approved credit terms, commercial interest at 18% per annum will be charged from the invoice due date.

5. Road Freight Dispatch & Inspection Protocols • Consignments are transported via authorized commercial road trailers and freight carriers with electronic weighbridge verification at the loading depot. • The consignee or authorized depot receiver must inspect packaging seals and verify bag count against the transport Lorry Receipt (LR) before signing the delivery docket. • Any transit shortages or outer bag tears must be endorsed on the carrier's physical LR copy and submitted within 48 hours for claim assessment.

6. Force Majeure & Limitation of Liability The Company shall not be held liable for delayed delivery or failure to execute consignments caused by acts of God, extreme climatic events, road transport strikes, highway blockades, raw material export embargoes, or government allocation directives.

7. Governing Law & Dispute Resolution All commercial contracts, wholesale orders, and business relationships shall be governed exclusively by the laws of India. Any legal dispute arising out of or in connection with sales agreements shall be subject to the exclusive jurisdiction of the competent civil courts at Hyderabad, Telangana or Jaipur, Rajasthan.
